Buyers price the metrics that predict durable cashflow — recurring revenue and its quality, net revenue retention, churn, expansion, gross margin, and the growth-versus-profitability balance the Rule-of-40 captures. We model those the way an acquirer will read them, so the valuation case is built on the levers that actually move the number.
